Article one – Organization
Section 1: |
NAME. The name of this organization shall be “Lake Arthur Sailing Club.” |
Section 2: |
PLACE OF BUSINESS. The Lake Arthur Sailing Club (LASC) will operate at Lake Arthur located at Moraine State Park, Butler County, Pennsylvania. |
Section 3: |
OBJECT. The purpose of the LASC shall be to promote organized recreational sailing and camaraderie among families who are owners of sailboats moored at Lake Arthur. |
Article Two – Membership
Section 1: |
ELIGIBILITY. Membership in the LASC shall be limited to registered sailboat leaseholder whose boats are either dry or wet moored at Lake Arthur, Moraine State park, Butler County, Pennsylvania. Associate membership in the LASC is available to other registered leaseholders at Lake Arthur and to all other persons interested in sailing. |

APPLICATION. Application for membership in the LASC shall be made upon one of the regular forms provided for that purpose and if approved by the Board of Directors membership shall commence upon payment of annual dues. Membership may be renewed annually upon payment of dues. Membership may be terminated for nonpayment of annual dues. |
Section 3: |
DUES. Annual dues and due dates for payment shall be established by the Board of Directors. The dues cover membership for a period of one year from April 1st to March 31st. |
Article Three – Board of Directors / Officers
Section 1: |
BOARD OF DIRECTORS. The LASC shall be governed by a Board of Directors. The Board of Directors shall consist of nine club members, each with a minimum of two years membership in the LASC. The nine club members on the Board of Directors shall consist of five Executive Board Members and four Officers. Any member 18 years or older, listed in the current year Sailing Club Roster and who meets the requirements of article two above, may seek and hold office. There shall be no more than one officer or director per boat. Associate members shall not serve as officers or directors. |
Section 2: |
TERMS OF OFFICE. Executive Board Members shall serve a term of three years. The five Executive Board Members shall be divided into two classes with three members being elected one year and two members elected in the following year. The four Officer Board Members shall serve for a term of two years. The Captain and Vice-Captain shall be elected in even years and the Treasurer and Secretary shall be elected in odd years. |
Section 3: |
VACANCIES. The board of Directors may appoint any member to fill any vacancy created by an Officer or Executive Board Member not completing his or her term. Such appoint shall be for the duration of that term. |
Article Four – Duties of Officers
Section 1: |
OFFICERS. The four Officer Board Members shall consist of the following: Fleet Captain, Vice Fleet Captain, Fleet Secretary, Fleet Treasurer. |
Section 2: |
FLEET CAPTAIN. The duties of the Fleet Captain shall be to oversee operations of the LASC. |
Section 3: |
VICE FLEET CAPTAIN. The duties of the Vice Fleet Captain shall be to oversee the duties of the LASC when the Fleet Captain is not able to perform duties. |
Section 4: |
FLEET SECRETARY. The duties of the Fleet Secretary shall be to take minutes at the LASC meetings, publish the Sailing Club Newsletter and assist the Fleet Captain in regards to correspondence. |
Section 5: |
FLEET TREASURER. The duties of the Fleet Treasurer shall be to maintain and balance the LASC checking account and provide biannual reports to the LASC in the Months of March and September. The Fleet Treasurer shall maintain a checking account at a financial institution as approved by the Board of Directors. Both the Fleet Captain and the Fleet Treasurer shall be authorized signatures for the account. |
Article Five – Meetings
Section 1: |
REGULAR. There shall be regular meetings of the LASC in the months of March and September. |
Article Six – Nominations and Elections
Section 1: |
NOMINATION AND ELECTION OF OFFICERS AND BOARD OF DIRECTORS. The club members shall elect the officers and Board members at the Fall business meeting. Voting shall be by simple majority of votes cast. Ballots shall be tabulated by any club member not seeking office. Nominations of Officers and Board Members shall be made from the floor by a member in good standing. Voting shall be by written ballots. Officers and Executive Board Members are permitted to run for consecutive terms of office. |
Section 2: |
DATE OF ELECTION. The LASC members shall elect the Officers and Board of Directors at the annual Fall meeting which shall be held in September. The Officers and Board of Directors shall Begin their respective terms effective January 1 following the September election. |
Section 3: |
VOTING RIGHTS. Each boat shall be entitled to one vote. To be eligible to vote a member’s dues must be paid. Associate members shall have no voting privileges. |
Article Seven – Amendments
Section 1: |
This Charter / By-Laws may be amended at the annual business meeting by a simple majority vote of club members present. This Charter / By-Laws may also be amended at a special meeting which may be called by any club member. The club member calling the special meeting shall, at his own expense, notify all club members by regular U. S. Mail with complete details at least 14 days prior to the special meeting. The voting requirements shall be the same as at a regular meeting. |
Article Eight – Committees
Section 1: |
STANDING COMMITTEES: The following Committees shall be appointed as needed.· Charter / By-Laws· Program and Entertainment· Other |
Section 2: |
CHAIRMAN. The appointed chairman of any committee shall make written reports on committee work to the Board of Directors / Membership. |
Section 3: |
CHARTER/BY-LAWS. The Charter By-Laws Committee shall look after the rules of LASC and make any suggestions to the LASC which they feel would better the organization. |
Section 4: |
PROGRAM AND ENTERTAINMENT. This committee shall have charge of all forms of entertainment and events. |
Section 5: |
OTHERS. As assigned by the membership. |
Article Nine – Other
Section 1: |
All club members and associate members hereby release all directors, officers, event organizers and sponsors from any liability for official actions within the course of their duties for any injury to any club or associate member, crew, or boat, arising out of any LASC event. |
